Wholesale Terms and Conditions

Effective Date: 22nd August 2025

These Wholesale Terms and Conditions ("Terms") govern all wholesale transactions between Wargames Atlantic ("we," "us," or "our") and the wholesale customer ("you," "your," or "Customer"). By placing a wholesale order, you agree to be bound by these Terms.

 

 

1. Eligibility

To qualify for a wholesale account, you must:

  • Operate a legitimate retail business (brick-and-mortar, web store, or distributor).

  • Provide a valid business registration number and tax ID/VAT number as applicable.

  • Submit a completed wholesale application and be approved by Wargames Atlantic.

 

 

2. Pricing and Payment

  • Wholesale pricing is provided upon approval of your account and may be updated without prior notice.

  • All prices are exclusive of taxes, duties, and shipping unless otherwise stated.

  • Payment is due in full prior to shipping unless alternative terms are agreed in writing.

  • Accepted payment methods: Bank transfer, credit/debit card, or PayPal.

 

 

3. Shipping and Delivery

  • Shipping costs are calculated at checkout or invoiced separately.

  • We aim to ship within 3–5 business days of order confirmation.

  • Title and risk of loss pass to you upon delivery to the carrier.

  • You are responsible for any customs duties or import taxes.

  • Shipping is free on orders of or over $300/£300. A flat rate shipping fee of $30/£20 will be added to orders below this value. 

 

 

4. Returns and Damages

  • Returns are accepted only for defective or incorrect items reported within 7 days of receipt.

  • All return requests require prior authorization.

  • Products must be returned unused and in original packaging.

 

 

5. Resale Restrictions

You agree:

  • Not to sell Wargames Atlantic products via Amazon without prior written consent.

  • To sell only through your own physical retail locations or directly controlled e-commerce websites.

  • Not to engage in price dumping or practices that undermine brand integrity or value.

Violation of this section may result in immediate termination of your wholesale account and possible legal action.

 

 

6. Minimum Advertised Price (MAP) Policy – U.S. Customers Only

To protect the value of our brand and support all resellers equally, U.S.-based wholesale customers must comply with our Minimum Advertised Price (MAP) Policy:

  • MAP is set at 15% below the Manufacturer’s Suggested Retail Price (MSRP/RRP) as published on the Wargames Atlantic website or in official product documentation.

  • Products may not be advertised online, in print, or via email at a price lower than 85% of MSRP/RRP. This includes discounts, bundles, promotions, or coupons that effectively lower the advertised price below this threshold.

  • This policy does not restrict actual selling prices in-store or during customer checkout.

  • Failure to comply may result in a warning, suspension, or termination of wholesale privileges.

This policy is unilateral, non-negotiable, and enforced solely at our discretion.

 

 

7. Marketing and Brand Use

  • You may use Wargames Atlantic product images and descriptions for promotional purposes related to resale.

  • All brand materials must be used in accordance with our branding guidelines and may be revoked at our discretion.

 

 

8. Termination

  • We reserve the right to suspend or terminate your wholesale account at any time for breach of these Terms or misuse of the brand.

  • You may terminate your account by notifying us in writing.

 

 

9. Governing Law and Jurisdiction

  • For U.S. customers: These Terms shall be governed by and construed in accordance with the laws of the State of [Insert State], without regard to its conflict of laws principles.

  • For UK and EU customers: These Terms shall be governed by the laws of England and Wales. Disputes will be subject to the exclusive jurisdiction of English courts.

 

 

10. Amendments

We may amend these Terms at any time. Updates will be posted on our website and emailed to current wholesale customers. Continued use of your account indicates acceptance of the updated terms.
